National Geographic Partners, LLC (“NGP”, “we”, “us”, “our”), an affiliate of The Walt Disney Company and National Geographic Society, welcomes you to National Geographic Live Explorer Academy Adventures. The “Program” includes the Explorer Academy Adventures Website (adventures.natgeolive.com), and associated content and services.

PLEASE READ CAREFULLY.

You agree to these Transaction Terms by clicking a box that states that you accept and agree to these terms during the payment and checkout process for the Program, and you ratify your agreement when you use any aspect of the Program. Your consent is required to register your child with the Program, and you agree to be bound by these Transaction Terms on their behalf and in respect of their use of the Program. In addition, these Transaction Terms incorporate The Walt Disney Company Terms of Use (“Terms of Use”) and your agreement to these Transaction Terms also constitutes your agreement to the Terms of Use, including the BINDING INDIVIDUAL ARBITRATION CLAUSE and choice of law and forum as well as disclaimers and limitations of liability specified therein. If any provision in these Transaction Terms conflicts with any provision in the Terms of Use, the conflicting provision in these Transaction Terms will control. Your use of the Program is also governed by the Privacy Policy and the Children’s Privacy Policy.

ANY DISPUTE BETWEEN YOU AND NGP OR ANY OF ITS AFFILIATES, EXCEPT FOR SMALL CLAIMS, IS SUBJECT TO A CLASS ACTION WAIVER AND MUST BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION. PLEASE READ THE ARBITRATION PROVISION IN THE WALT DISNEY COMPANY TERMS OF USE (“TERMS OF USE”), AS IT AFFECTS YOUR RIGHTS UNDER THIS CONTRACT.

Program Eligibility

Only residents of the United States and all U.S. territories ages 18 or older who have or create a Disney Account and provided certain information (e.g., a valid email address), are eligible to complete the registration process for this Program. Registration in the Program is only for non-commercial purposes (no corporations or other entities, associations or groups) and is subject to and conditioned upon these Transaction Terms. All questions or disputes regarding eligibility for the Program will be resolved by NGP in its sole discretion.

You must agree to these Transaction Terms on your child’s behalf in order for your child to participate in the Program and to participate in any themed week of content, or course (a “Course”), that is offered as part of the Program. When you pay for the Program with a valid credit card and register your child for the Program, you signify your acceptance to these Transaction Terms, including the Terms of Use, as well as your acknowledgment of the Privacy Policy, the Children’s Privacy Policy, and any other applicable terms, on your behalf as well as assume responsibility for your child’s use of the Program. Certain program features may not be available unless you provide consent for your child’s use of such features. At any time, you may refuse to permit us to collect further personal information from your child in connection with the Program, and may request that we delete from our records the personal information we have collected from your child in connection with the Program. Please keep in mind that a request to delete records may lead to termination of the Program registration. You may contact Customer Service at support@eaa.natgeolive.com to request access to, change, or delete your child’s personal information. A valid request to delete personal information will be accommodated within a reasonable time.

Registration; Accessing the Program

Once you complete the registration and payment process for the Program, you will receive a registration confirmation email that contains important information about the Program, including a link to your unique “Guardian’s Dashboard” webpage for the Program (your “Guardian’s Dashboard”). The Guardian’s Dashboard is intended for your use and is not intended for your child. When you click the link to your Guardian’s Dashboard, you will be prompted to use your Disney Account credentials to access the Guardian’s Dashboard.

From the Guardian’s Dashboard, you will see a “Program Schedule” header, underneath from which you will see, for each of the Courses that your child is enrolled in: (1) a “Start Adventure” link that will automatically launch the separate “Academy Dashboard” webpage where your child can access and experience the listed Course (the “Academy Dashboard”); and (2) a clickable QR code that generates a link (the “Adventure Link”) specific to your child’s Academy Dashboard for the listed Course.

The Academy Dashboard, from which your child can access and experience the listed Course, can be accessed automatically by you clicking the “Start Adventure” link on your Guardian’s Dashboard. Alternatively, if you want to allow your child to access the Academy Dashboard for the listed Course on his or her own, rather than through your Guardian’s Dashboard, you can use the clickable QR code by (1) scanning the QR code using the camera, if any, on your child’s device or (2) clicking “Copy Link to Clipboard” to send (via email or other means of link sharing) the Adventure Link to your child’s device. That way, after a listed Course is released, your child can access that Course by simply scanning the corresponding QR code with his or her device camera or copying the QR code’s Adventure Link to his or her browser.

You are responsible for maintaining the confidentiality of your Disney Account credentials and any Program-specific username, password, or other login credentials that you or your child may have in connection with the Program (such login credentials, if any, the “Program Credentials”). You are responsible for any and all activities that occur under your Disney Account and any Program Credentials. You agree to immediately notify NGP of any unauthorized use of your Disney Account or breach of security related to your account, or of any unauthorized use of your Program Credentials, if any. NGP will not be responsible for any losses arising from the unauthorized use of your Disney Account or any Program Credentials.

Your License to Access the Program

NGP grants you a limited Consumer License, as specified in the Terms of Use, to access the Program for your personal, noncommercial use only, and only in accordance with these Transaction Terms. All rights and title to the Program are expressly reserved and you do not have rights to reproduce, distribute, communicate to the public, make available to the public, or transform any aspect of the Program.

Access to each new Course in the Program will be released beginning on the Monday date specified during registration, and then on Tuesday, Wednesday and Thursday of that week. Each day of Course material consists of access to approximately 45 minutes of one-way broadcast video content, plus approximately 1 hour and 15 minutes of self-directed “activity” time for a registrant, during which the registrant completes self-directed puzzles and activities, for a total of approximately two (2) hours per day, or a total of approximately eight (8) hours per week.

Your Course(s), as well as any graphics, videos, puzzles, activities, or other content included in such Course(s), will only be accessible to you and your child, and available for you and your child to view, for a limited time—currently scheduled until December 31, 2021. NGP reserves the right, in its reasonable discretion, to modify, restrict, suspend, discontinue or cancel the Program at any time.

All of the Program videos and content are pre-recorded and available for streaming on-demand. The Program videos and content are not available for download (unless otherwise expressly stated), and can only be streamed as a one-way broadcast. There will be no live interaction between the hosts, guest Explorers, or other users.

Program Supplies

Your child will need to obtain his or her own supplies to complete certain activities that are included in your Course(s). After you receive your registration confirmation email, you will also receive (approximately ten (10) calendar days before the Course is made available to access on the Program Website) an email for each of your Courses with information regarding the list of necessary supplies for that Course. This information will also be available in the “Bulletin Board” section of your Guardian’s Dashboard.

If you enroll your child in a Course later than ten (10) calendar days before the Course is made available to access on the Program Website, then you can refer to the list of supplies in the Bulletin Board section of in the Guardian’s Dashboard.

Payment and Taxes

Payment must be made with valid credit card information from a credit card acceptable to NGP.

When you place your order, we estimate the applicable tax, if any, and include that estimate in the total for your convenience. Except to the extent required under applicable tax laws, the actual tax amount that will be applied to your order and charged to your payment method is based on calculations on the date of confirmation of purchase, when payment for the Course(s) is charged.

Cancellation and Refund Policy

You can cancel your child’s enrollment in a Course, and receive a refund for the amount that you paid for the Course (or if you paid for multiple Courses at a discount, the pro-rated amount that you paid), at any time before the day on which the Course is made available to access on the Explorer Academy Adventures Website.

For questions about canceling your child’s enrollment in a Course, or to cancel your child’s enrollment in a Course, please email Customer Service at support@eaa.natgeolive.com and provide the following information in your email: the email address that you used to register for this experience; the Order ID for your registration; and the specific Course(s) that you wish to cancel and receive a refund for. Please note that all of this information is conveniently located in your registration confirmation email. Do not transmit any credit card information or other personal information in your refund request email. We will aim to send you a response within one (1) business day.

Accessibility; Content Quality

Access and use of the Program require a compatible device with an active internet connection and enough internet bandwidth to stream the Program content. You can access the Program content with almost any internet-connected computer, laptop, or tablet device. You agree that you (and not NGP) are responsible for obtaining and maintaining such device and internet connection services and paying all charges related thereto. The quality of the Courses, as well as the download speed of any streamed content, may be affected by a variety of factors such as your location, the speed, bandwidth and specific terms of your internet connection and the device used, among other factors. NGP will not be responsible for any issues involving your device or your internet connection and makes no representation or warranty regarding access to a Course, including the quality of streaming content and the download speed of any streamed content.

Changes in Program or Transaction Terms; Notice of Changes

NGP reserves the right to update, limit, or make changes to the Program and these Transaction Terms, including any conditions of participation, in whole or part at any time. Any changes to these Transaction Terms will be posted on the Explorer Academy Adventures Website and will be effective immediately unless stated otherwise. A notice that a change has been made will be placed on the Explorer Academy Adventures Website for a reasonable period of time. Your continued participation in the Program constitutes your acceptance of any changes to these Transaction Terms. You are responsible for periodically checking for any changes that NGP may make to these Transaction Terms. The most current version of these Transaction Terms will be available on the Explorer Academy Adventures Website and will supersede all previous versions of these Transaction Terms.

Change of Address and Other Information

It is your responsibility to keep NGP informed of any changes to your contact information, including your email address. Email communications related to the Program will be sent to the email address associated with your Disney Account. NGP shall have no responsibility for misdirected or lost email, or any consequences thereof, or for Program Credentials, if any, that may be counterfeit, altered, tampered with, delayed, lost, or stolen. Registration and Enrollment Termination

If you cancel your child’s registration in the Program, and thus your child’s enrollment in any Courses, then your Guardian’s Dashboard and your child’s Academy Dashboard will cease to be active, and you and your child will no longer have access to the Program. NGP reserves the right to terminate a Program registrant’s enrollment in any Course(s) for reasons, in each case as may be determined by NGP in its sole discretion, that include but are not limited to: violation of these Transaction Terms; misrepresentation of any information or any misuse of this Program; violation of any national, federal, state, provincial, municipal, territorial or local laws or regulations in connection with the access to and use of the Program; commission of fraud or abuse involving any portion of this Program; or any other action in violation of these Transaction Terms or to the detriment of the Program or NGP, its related companies, parents, subsidiaries, affiliates, agents, agencies or suppliers. In addition to termination of a Program registrant’s enrollment, NGP shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.

Privacy

By completing the registration process for the Program you acknowledge that you have read our Privacy Policy, California Privacy Notice, and Children’s Online Privacy Policy.

Severability

If any provision of these Transaction Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Transaction Terms and shall not affect the validity and enforceability of any remaining provisions.

Survival

The provisions of these Transaction Terms which by their nature should survive the termination of these Transaction Terms shall survive such termination, including but not limited to the restrictions, disclaimers, limitations, and rules regarding dispute resolution.
